Our advisory in the M&A area focuses on sale process of companies, participations (minorities vs majority), business in the middle-market segment (i.e. deal size typically ranging between 50 and 250 mln).

In this area our firm acts mainly on behalf of sellers (sell-side advisory) and services offered include full legal & tax advisory and, through the cooperation with our financial partners, the search of potential buyers through a competitive tender scenario intended to maximize the expected return for the seller.

In particular, our services include:

a) Full legal assistance and tax planning of the transaction (e.g. gathering of relevant legal documentation, arrangement of data room / due diligence procedure, negotiations with potential bidders, drafting of relevant contracts);
b) Organization of the sale procedure, i.e. creation of a competitive scenario through a structured process of market solicitation designed to maximise expected return for the seller (unless a one-to-one negotiation approach is preferred).
